These Terms of Use (the “Terms”) are between you and Audio Pro (Address: Room 1203A, 12/F, The 80|20, 161 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong) and its subsidiary Neos Education Limited (collectively, “Audio Pro”, “we”, “us” and “our”). These Terms apply to all Audio Pro websites, software, devices and related firmware, applications, products, and any other services, features or content provided by Audio Pro (collectively, the “Services”). By browsing, using or interacting with the Services, you indicate that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must stop accessing or using the Service. We may modify these Terms from time to time at any time and at our sole discretion.
It is your responsibility to check these Terms periodically for changes. Your continued use of the Services after any such updates will constitute binding on you regarding such updates, unless applicable law requires additional notice with respect to such updates, in which case we will comply with such additional notice requirements.
Certain Services may be subject to additional or separate terms and conditions. If there is a conflict between these Terms and the other terms and conditions, the other terms and conditions will prevail.
1.Eligibility
To use the Services, you must be of legal age in your jurisdiction, unless you have obtained authorization from your parents or legal guardians to use the Services and agree to these Terms on your behalf. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on its behalf. The Services and Content are protected by copyright, trademark, patent, trade secret and other laws of the United States and foreign jurisdictions. Except as expressly provided otherwise in these Terms, Audio Pro and its licensors will solely own all right, title and interest in and to the Services and Content (including all related intellectual property rights).
You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights or notices incorporated in or accompanying the Services or Content. Any unauthorized use of materials on the Service or any materials obtained through the Service may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
3. Authorization
We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access, view and use the Services and Content, and to access and use any software embedded in our products or devices (whether such software is provided by us or a third party). This authorization is only for your non-commercial personal use and enjoyment of the services permitted by these terms.
Except as expressly permitted in these Terms, you may not use, sublicense, copy, adapt, modify, translate, disclose, create derivative works based on, distribute, license, sell, rent, lease, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Content, Services, or any part thereof (including Third Party Software). Except for the licenses and rights expressly granted in these Terms, we do not grant you any licenses or rights, whether by implication or otherwise, to any intellectual property rights owned or controlled by us or our licensors.
This authorization may be revoked at any time at Audio Pro’s sole discretion. Upon any revocation of authorization, you must immediately destroy all materials downloaded or otherwise obtained from the Service, including all copies of such materials, whether or not originally used in accordance with these Terms.
4. Account Registration
You may need to create an account to use certain parts of the Service. To create an account, you may be asked to provide a password, a user name and other information such as your name and email address. You are solely responsible for maintaining the confidentiality of your information. You may not transfer, sell, assign or sublicense your account without our prior written consent. You are fully responsible for all use and activities that occur under your account, including but not limited to any unauthorized or unauthorized use of your account by any person. You agree to notify us immediately of any unauthorized use or any other account security breach. Audio Pro is not responsible for any losses resulting from unauthorized account use. Information you submit is subject to the Audio Pro Privacy Policy.
5. User Content and Comments
5.1 User Content.
You are entirely responsible for any content that you submit, display, publish or otherwise make available through the Service ("User Content"), including any necessary third-party rights in your User Content.
When you submit User Content, you grant Audio Pro a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable license to use, copy, cache, distribute, reproduce, modify, edit, adapt, publicly perform, publicly display, translate, create derivative works from, sell, lease, transmit, communicate to the public, disseminate and publish such User Content, in whole or in part, in any format or media now known or hereafter devised, including without limitation for promotional and re-distribution of the Services (and derivative works thereof), in whole or in part.
We may pre-screen User Content before it appears on the Service at our sole discretion and may prohibit or prevent you from posting, uploading, storing, sharing, sending or displaying User Content to or through the Service at any time. We may refuse, move, edit or remove any User Content provided to the Service at any time and for any reason in our sole discretion, including without limitation User Content that violates these Terms. 5.2 Comments.
We will not consider any unsolicited ideas, please do not send us such ideas. If you nevertheless wish to submit an idea, whether as User Content or in any other form (a "Submission"), the following terms will apply:
(a) Submissions Materials shall remain the sole property of Audio Pro and no compensation shall be paid to you. You agree to assign, and hereby irrevocably assign, all right, title and interest in and to all Submissions (including any intellectual property rights therein) to Audio Pro.
(b) Audio Pro shall have no obligations whatsoever with respect to the Submissions and shall be free to reproduce, use, disclose and share any ideas, concepts, know-how or techniques contained in the Submissions for any purpose whatsoever and without compensation or acknowledgment of any kind, including but not limited to use of the Submissions in developing, manufacturing and marketing products and services.
6. Acceptable Use
To promote safety and a good experience, you may not engage in the following activities when accessing and using the Services. Prohibited behaviors include but are not limited to:
Abuse, defame, threaten, intimidate, stalk, harass or harm others;
advertise, solicit, or sell any product or service to any user, or use any information obtained through the Service to contact, advertise, solicit, or sell any product or service to any user without the user's prior express consent;
alter or tamper with any material on or related to the Services;
attempt to circumvent any technological measure implemented by us or any of our suppliers or any other third party (including other users) to protect or restrict access to the Services;
Attempt to decipher, decompile, translate or reverse engineer any software or other underlying code that provides the Services;
disrupt, overwhelm, attack, modify or interfere with the Service or its related software, hardware or servers in any way;
Engage in spidering or scraping, or engage in the use of software (including spyware) designed to collect data from the Service;
hinder or interfere with others’ use of the Services;
Impersonate any person or entity, or engage in other such fraudulent activities, such as phishing;
Post or share any content that is unlawful, abusive, harassing, pornographic, indecent, profane, obscene, hateful, racist or otherwise objectionable;
Post or transmit, or cause to be posted or transmitted, any advertising or solicitation designed or intended to obtain passwords, account details or any other personal or private information from any user;
Submit any link to a multi-level marketing scheme, pyramid scheme or off-topic content;
Submit, send, post, upload or otherwise make available any unsolicited or unauthorized advertising or commercial communications, such as spamming, advertising, promotional materials, junk mail, chain letters or any other form of solicitation;
Take any action that imposes or may impose an unreasonable or disproportionately large load on our infrastructure;
Transmit any viruses, malicious code or other computer instructions or technological means designed to disrupt, damage or interfere with the use of computers or related systems;
Use any means to crawl or scrape any web pages contained in the Services;
Use any robot, spider, scraper or any other automated means to access the Service;
Violate, infringe or misappropriate the intellectual property, privacy, publicity or other legal rights of others;
violate any law or regulation; or
Advocate, encourage or assist any third party to engage in any of the above activities.
In addition to the restrictions on use set forth above, materials on or through the Service are provided with “Restricted Rights.” Use, duplication, or disclosure by any federal, state, or local government or authority is further restricted by applicable laws and regulations. Use of such materials by such governments or agencies constitutes acknowledgment of Audio Pro's proprietary rights therein.

8. Warranties, Disclaimers and Limitation of Liability
Unless expressly stated otherwise in writing by Audio Pro at the time you purchase Audio Pro products or services, the Services and Content are provided on an "as is" basis without warranties of any kind, whether express or implied. WITHOUT LIMITING THE FOREGOING, AUDIO PRO EXPRESSLY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS, CONDITIONS OR GUARANTEES OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. In particular, but without limitation, Audio Pro does not warrant that: (i) the Services or Content will be error-free; (ii) the functions or features of the Services will be uninterrupted, secure or error-free; (iii) defects will be corrected; or (iv) the Services and Content are free of viruses or other harmful components. Audio Pro makes no guarantee that Audio Pro will update or continue to provide the Services, including but not limited to any specific software, applications or products, and Audio Pro reserves the right to change, update and discontinue the Services without notice. The foregoing disclaimers apply to the maximum extent permitted by law and shall survive any termination or expiration of these Terms or your use of the Services.
You understand and agree that, to the maximum extent permitted by law, the entire risk arising from your access to and use of the Services and Content is at your own risk. To the maximum extent permitted by law, we will not be liable for any direct, indirect, special, incidental, consequential, punitive or other damages (including, but not limited to, any loss of profits, loss of data, damage to any computer or device, loss of use, or the cost of obtaining substitute goods or services) arising out of the service or its related content or links provided on the service, in no event will Audio Pro or its affiliates, or any party involved in creating, producing or delivering the Services or Content, or their respective directors, officers, employees, agents or other representatives, be liable to you or any other person or entity, whether or not Audio Pro has been informed of the possibility of such damages and whether based on warranty, contract, tort (including negligence), civil liability, strict liability, violation of statute or otherwise.
In no event will Audio Pro's total liability for any claim arising out of these Terms or the use of or inability to use the Services exceed the amount paid for the specific product or service in question, or if the claim does not relate to a paid product or service, then HK$1,000.
Audio Pro does not warrant, endorse, guarantee, or assume responsibility for any products or services recommended or offered by third parties through the Service or any websites linked off the Service, and Audio Pro will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of products or services. Audio Pro is not responsible for any offensive or illegal conduct of any third party. You are willing to assume the risk of such hazards or damages.
The limitations set forth above are fundamental and essential elements of the basis of the bargain between Audio Pro and you and will apply even if any remedy fails of its essential purpose to the fullest extent permitted by law.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN TYPES OF WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR DAMAGES. Therefore, some of the above limitations may not apply to you. If you are located in the State of New Jersey, U.S.A., the limitations in this section apply to you.
9. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Audio Pro and its respective officers, directors, employees, shareholders or representatives (and all successors and assigns of any of the foregoing) from and against any claims, including without limitation reasonable attorneys’ fees and expenses, arising out of your use of the Services or Content, your conduct in connection with the Services, your access to Content or User Content, your violation of these Terms, your violation of applicable law, User Content you submit, post or transmit to the Services, and/or your violation of any rights of another. We reserve the right, at our own expense, to assume the exclusive defense or control of any such disputes, and in any event you will cooperate with us in asserting any available defenses.
10. Modification and Termination
10.1 Modifications to the Services.
Unless otherwise prohibited by applicable local law, Audio Pro reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Audio Pro will not be liable to you or any third party for any modification, suspension or discontinuance of the Service.
10.2 Termination.
We may deny you access to all or any part of the Services at any time, for any reason (or no reason), in our sole and absolute discretion, with or without notice. If we terminate your access to the Services, these Terms will terminate and all of your access to the Services will immediately terminate; however, certain provisions of these Terms will survive termination, including, but not limited to, the mandatory arbitration and class action waiver provisions (if applicable).
Termination of your use of or access to the Services may also include deletion of your account and/or User Content, at Audio Pro's sole discretion, and you will be unable to retrieve any information associated with your account, except as required by applicable law.
11. Intellectual Property Infringement Notification
In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, it is Audio Pro's policy, in appropriate circumstances, to terminate the registered accounts of users who are deemed to infringe the intellectual property rights of third parties and/or to remove User Content that is deemed to be infringing.
12. Governing Law
These Terms and their subject matter, and any action related thereto, shall be governed by and construed in accordance with the Hong Kong Special Administrative Region, without regard to principles of conflicts of law, and you and Audio Pro consent to the exclusive jurisdiction of such courts.
13. General Terms
13.1 Force Majeure.
In no event shall Audio Pro be liable for any delays or failures resulting directly or indirectly from matters beyond its reasonable control.
13.2 No Waiver.
If we do not insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in enforcing our rights, this will not mean that we have waived those rights and you are not required to comply with the relevant obligations. If we waive your liability for a non-compliance or breach of the Terms, we will only do so in writing and this will not automatically waive your liability for any future non-compliance or breach of the Terms.
13.3 Severability.
Each provision of these Terms operates independently. If any court or relevant authority holds that any part of these Terms is illegal or unenforceable, the remaining paragraphs will remain in full force and effect.
13.4 Third Party Beneficiaries.
Except as expressly provided otherwise in these Terms, there shall be no third-party beneficiaries to these Terms.
13.5 Entire Agreement.
These Terms (together with all terms and conditions contained herein) constitute the entire agreement between you and Audio Pro and supersede any prior or contemporaneous agreements between you and Audio Pro with respect to the subject matter hereof, except as expressly provided otherwise in these Terms.
13.6 Transfer.
These Terms and any rights or licenses granted hereunder shall not be assignable or transferable by you to any other person. These Terms, and any rights or licenses granted hereunder, may be assigned or transferred by Audio Pro without restriction. These Terms will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
13.7 Modifications.
These Terms may only be modified by an agreement signed by you and an authorized signatory of Audio Pro that specifically references and expressly modifies these Terms.
13.8 No Agent.
These Terms do not create or constitute an agency, partnership, joint venture, or employment relationship, and you do not have any authority to assume or create any obligations or make any representations on Audio Pro's behalf or to bind Audio Pro in any way.
13.9 Electronic Processing.
You agree that any agreement between you and us made in electronic form shall be legally binding as if it were in physical writing.
13.10 Headings.
The headings and subheadings in these Terms are for convenience only and have no legal or contractual effect.
13.11 Survival.
Upon termination of these Terms, the terms that you would reasonably expect to survive will continue to be effective.
13.12 Notices.
We may send you notices by email, by posting them on the Service, or by any other method we choose, and such notices will be effective when sent. If you give us a notice at Room 1203A, 12/F, The 80|20, 161 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong, it will be effective when received.

- 以任何方式擾亂、壓倒、攻擊、修改或干擾服務或其相關軟件、硬件或伺服器；

- 發佈或傳送，或引致任何廣告或招攬訊息之發佈或傳送，旨在或意圖從任何使用者獲取密碼、賬戶資料或任何其他個人或私人資料；
- 提交任何連接至多層次傳銷計劃、層壓式推銷或離題內容之連結；
- 提交、發送、發佈、上載或以其他形式提供任何未經邀請而主動提供或未獲授權的廣告或商業信函，如兜售信息、廣告、宣傳資料、垃圾郵件、連鎖信件或任何其他形式為爭取客戶的行為；
- 對我們的基礎設施作出任何施加或是可能施加不合理或不成比例的龐大負載之行為；
- 傳送以擾亂、破壞或干擾電腦或相關系統的使用為目的之任何病毒、惡意代碼或其他電腦指令或技術手段；
- 使用任何手段爬取或抓取服務中包含的任何網頁；
- 使用任何網絡機器人、網絡爬蟲、抓取工具或任何其他自動化方式存取服務；
- 違反、侵犯或盜用他人之知識產權、私隱權、公開權或其他合法權利；
- 違反任何法律或法規；或

除非 Audio Pro 在閣下購買 Audio Pro 產品或服務時以書面形式明確規定，否則服務和內容皆依照「現況」提供，但不包含任何種類的明示或暗示保證。在不影響前述規定下，Audio Pro 明確表示不提供任何明示或暗示的保證、聲明、條件或任何形式之擔保，包括但不限於有關高品質、適銷性、特殊目的適用性、所有權或非侵權性之保證。Audio Pro 尤其（但不限於此）不保證：(i) 服務或內容均為正確無誤；(ii) 服務之功能或特性不會中斷、始終安全或毫無錯誤；(iii) 缺陷將受到更正；或 (iv) 服務和內容完全沒有病毒或其他有害元件。Audio Pro 不保證 Audio Pro 會更新或繼續提供服務，包括但不限於任何特定的軟件、應用程式或產品，並且 Audio Pro 保留變更、更新和終止服務的權利而不作另行通知。上述免責聲明在法律允許的最大範圍內適用，並且在本條款或閣下對服務的使用終止或期滿後仍然有效。閣下了解並同意，在法律允許的最大的範圍內，閣下存取和使用服務和內容所產生的全部風險均由閣下自行承擔。法律允許的最大的範圍內，針對由服務或其關聯內容，或服務上提供的連結所引起的任何直接、間接、特殊、偶然、必然、懲罰或其他損失（包括但不限於任何利潤損失、資料遺失、任何電腦和裝置的損壞、使用損失，或取得替代商品或服務的成本所造成的損失），Audio Pro 或其附屬公司，或參與建立、生產或提供服務或內容的任何一方，或其各自董事、管理人員、員工、代理商或其他代表，在任何情況下對閣下或任何其他人或實體概不負責，不論 Audio Pro 是否已知悉此類損失的可能性以及是否符合保證、合約、侵權（包括疏忽）、民事責任、嚴格責任、違反法規或其他內容之規定。
在任何情況下，對由於本條款或使用或無法使用服務而產生的索償，Audio Pro 的賠償責任總額將不超過相關特定產品或服務之付款金額，或者，如果索償與付款產品或服務無關，則不超過 1,000 港幣。
Audio Pro 不為第三方通過服務所推薦或提供的任何產品或服務，或是通過服務外連結的任何網站作出保證、背書、擔保或承擔責任，且 Audio Pro 不會參與或以任何方式負責監控閣下與產品或服務的第三方供應商之間的一切交易。Audio Pro 對任何第三方的冒犯或違法行為概不負責。閣下自願承擔上述危害或損壞的風險。
上述限制是構成 Audio Pro 與閣下之間交易基礎之基本及實質要素，即使補救措施未能達到其基本目的，此等限制仍在法律允許的最大範圍內適用。
部分司法管轄區不允許排除某些類型的保證或是限制或排除損害賠償責任。因此以上的部分限制條款可能對閣下不適用。如果閣下位於美國新澤西州，則本節中的限制條款適用於閣下。
9. 補償
在法律允許的最大範圍內，對於因閣下使用服務或內容、與服務相關之行為、接觸內容或使用者內容、違反本條款、違反適用法律、閣下所提交、發佈及傳送至服務的使用者內容，及/或閣下侵犯他人的任何權利，致使任何索償要求提出，包括但不限於合理律師費和款項，閣下同意為 Audio Pro 及其各自的管理人員、董事、員工、股東或代表（及任何上述之全部繼承人和受讓人）進行補償、抗辯並使其免受損害。我們保留由我們自費進行專屬抗辯或控制此類爭端的權利，且在任何情況下，閣下都會與我們合作主張任何可行之抗辯。
10. 修改和終止
10.1 修改服務。除非適用的當地法律要求不允許，Audio Pro 有權隨時修改或暫時或永久終止服務（或其中之任何部分），不論是否給予通知。Audio Pro 不對任何服務修改、暫停或終止服務的情況而向閣下或任何第三方承擔責任。
10.2 終止。
我們可隨時因任何理由（或無須理由）而行使唯一絕對酌情權，拒絕閣下存取全部或部分服務，不論是否給予通知。如果我們終止閣下存取服務的權利，本條款將會終止，且閣下對於服務所擁有的一切存取權利將立即終止；然而，本條款的某些規定在終止後仍然適用，包括但不限於強制仲裁和集體訴訟豁免規定（如適用）。終止閣下使用或存取服務的情況也可能包括 Audio Pro 依據自行判斷，決定刪除閣下的賬戶及/或使用者內容，並且閣下將無法檢索與閣下賬戶相關的任何資料，惟適用法律另有要求者除外。
11. 知識產權侵權通知
根據《數碼千禧年版權法案》 (DMCA) 和其他適用法律，Audio Pro 的政策是在適當情況下，終止被視為侵犯第三方知識產權的使用者之註冊賬戶及/或刪除被認為侵權的使用者內容。
12. 管轄法律
本條款及其主題內容，以及與之相關的任何行動，均應受香港特別行政區管轄並按其解釋，無須理會法律衝突原則，閣下和 Audio Pro 均同意此法庭的專屬管轄權。
13. 一般條款
13.1 不可抗力。在任何情況下，Audio Pro 無須就超出其合理控制範圍之事件而直接或間接導致的任何延遲或失誤承擔責任。
13.2 無豁免權利。
如果我們未堅持要求閣下須按照本條款履行任何義務，或我們未向閣下行使權利，或我們延遲行使權利，此等情況並不代表我們已放棄該等權利，也不代表閣下無須遵從相關義務。如果我們免除閣下不遵從或違反條款的責任，我們只會以書面形式指出，而且此舉也不代表我們會自動免除閣下在日後出現的任何不遵從或違反條款之責任。
13.3 可分割。
本條款的每項規定均可獨立運作。如果任何法庭或相關機構判定本條款的任何內容違法或無法執行，剩餘段落均保有完整效力和作用。
13.4 第三方受益人。
除本條款另有明文規定外，本條款不得有第三方受益人。
13.5 完整協定。
本條款（以及此處包含的所有條款及細則）構成閣下和 Audio Pro 之間的完整協議，並取代閣下之前或同期與 Audio Pro 就本事宜簽訂的任何協議，除本條款中另有明文規定者，不在此限。
13.6 轉讓。
本條款及其授予的任何權利或許可，閣下將不得私自分配或移轉他人。本條款及其授予的任何權利或許可，得由 Audio Pro 不受限制地進行分配或移轉。此等條款對各方及其繼承者和獲許可的受讓人具有約束力，並符合當事各方之利益。
13.7 修改。
本條款只能通過由閣下和 Audio Pro 的授權簽字人所簽訂的協議進行修改，並特別提及和明確修改本條款。
13.8 無代理。
本條款並不代表或建立代理、合夥、合資或僱傭之關係，閣下無權代表 Audio Pro 承擔或建立任何義務或作出任何陳述，亦無權在任何層面對 Audio Pro 進行約束。
13.9 電子處理。
閣下同意，閣下和我們之間以電子形式作出的任何協議之法律約束力，等同於實體書面形式的效力。
13.10 標題。
本條款的標題和副標題只為了方便閱讀，並無法律或合約效力。
13.11 存續。
在本條款終止時，常理上會希望保留的條款仍將繼續有效。
13.12 通知。
我們可以通過電郵向閣下傳送通知，於服務上發佈通知，或以我們選擇的任何其他方法通知閣下，此類通知將於發送時生效。如果閣下向我們發出通知至 香港九龍觀塘偉業街161號 The 80|20 12樓1203A室，其將於收到時生效。
13.13 短訊服務。
使用服務即表示閣下同意我們和代表我們的其他人可能在某些情況下，根據我們的短訊服務使用條款，向閣下所提供的電話號碼發送短訊。
